These Terms of Service (“Terms”) govern your use of Satdee (the “Service”), operated by Satdee Limited (“we”, “us”, “our”). By accessing or using Satdee, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

• “Satdee” means our website, mobile applications, and related services.
• “The 3pm Club” means the paid membership tier that unlocks additional features.
• “Content” includes statistics, data, text, graphics, layouts, software, and user submitted material such as match notes.
• “Paid Services” means any subscription, one time purchase, or paid feature offered by Satdee.

2. Eligibility

You must be at least 16 years old to use Satdee. By using the Service, you confirm that you meet this requirement.

3. Your Account

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate and up to date information when creating or updating your account.
• You are responsible for all activity under your account, whether authorised by you or not.
• You must not share, sell, or transfer access to your account or to Paid Services, unless we explicitly allow it in writing.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Interfere with, disrupt, overload, or harm the Service or its infrastructure.
• Scrape, crawl, copy, or reverse engineer any part of the Service or Content without permission, including by automated means.
• Circumvent paywalls, feature restrictions, or access controls, including those associated with The 3pm Club.
• Abuse community features, including posting spam, harassment, impersonation, or misleading content.
• Use Satdee to build or operate a competing service, or for commercial resale, without written permission.

5. Paid Services and The 3pm Club

5.1 Billing and payment

• Certain features are only available through Paid Services, including The 3pm Club.
• Prices, billing periods, and plan details are displayed at checkout and may vary by platform, region, and applicable taxes.
• Payments may be processed by third party providers such as app stores or payment processors.
• You agree to pay all fees and taxes shown at the time of purchase.

5.2 Auto renewal and cancellation

• Subscriptions renew automatically unless cancelled before the next billing date.
• You may cancel at any time. Cancellation prevents future charges but access usually continues until the end of the current billing period.
• If you subscribed through an app store, you must cancel via that store. Web subscriptions must be cancelled through your Satdee account or the method provided at purchase.

5.3 Pricing and plan changes

• We may change pricing, plans, or included features in the future.
• Promotional or launch pricing may be time limited and may not apply to renewals.
• Where required, we will provide notice of changes affecting active subscriptions.

5.4 Lifetime access

• If offered, “lifetime” access means access for as long as Satdee and the relevant lifetime plan continue to exist and be supported.
• Lifetime access is non transferable and linked to your account.
• Lifetime access may exclude future products or paid tiers unless explicitly stated otherwise.

5.5 Refunds

• Refunds are subject to the refund policy shown at purchase and the rules of the payment provider used.
• Purchases made through app stores are generally governed by the store’s refund policies.
• Nothing in these Terms limits your statutory consumer rights.

5.6 Access and entitlements

• Access to Paid Services may take a short time to update following purchase, renewal, cancellation, or refund.
• We may suspend or revoke access if we reasonably believe there has been fraud, abuse, or a breach of these Terms.

6. User Content and Community Features

• You retain ownership of Content you submit, but grant us a worldwide, non exclusive, royalty free licence to use it within Satdee for operating and improving the Service.
• You are responsible for ensuring you have the right to post your Content.
• We may moderate, remove, or restrict user Content at our discretion.
• Community signals such as votes may affect visibility but do not guarantee any outcome.

7. Intellectual Property

• All Service Content, excluding user submissions, is owned by or licensed to Satdee Limited.
• You may use Satdee for personal, non commercial purposes only unless we provide written permission.

8. Third Party Services

Satdee relies on third party services including data providers, analytics, authentication, and payment processors. We are not responsible for third party services or their availability.

9. Disclaimers

Satdee is provided on an “as is” and “as available” basis. We do not guarantee accuracy, availability, or uninterrupted operation. Satdee is not a bookmaker, tipster, or financial advice service. Any betting or gambling decisions are your responsibility.

10. Limitation of Liability

To the fullest extent permitted by law, Satdee Limited shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.

11. Indemnity

You agree to indemnify Satdee Limited against claims arising from your misuse of the Service or breach of these Terms, to the extent permitted by law.

12. Suspension and Termination

We may suspend or terminate your access if you breach these Terms or if required for legal, security, or operational reasons. You may stop using the Service at any time.

13. Changes to the Service

We may change or discontinue parts of the Service at any time. We do not guarantee continued availability of any specific feature.

14. Privacy

Our use of personal data is described in our Privacy Policy.

15. Changes to These Terms

We may update these Terms from time to time. Updates will be posted here with a revised “Last updated” date.

16. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.

17. General

• Severability: unenforceable provisions do not affect the rest.
• No waiver: failure to enforce is not a waiver.
• Assignment: we may assign these Terms as part of a business transfer.
• Entire agreement: these Terms form the entire agreement.
